Systems Limited to Acquire Confiz Pakistan in Major Amalgamation Deal

Systems Limited has announced that its Board of Directors has approved the acquisition of Confiz Pakistan (Private) Limited and all its direct and indirect shareholdings in the Confiz Group of Companies. The transaction will be executed through an amalgamation or merger of Confiz with and into Systems Limited, according to a notice sent to the Pakistan Stock Exchange on December 11, 2025. The proposed merger will be carried out under a draft Scheme of Arrangement, prepared in accordance with the Companies Act, 2017, and is subject to the necessary approvals from shareholders, creditors, regulators, and the Lahore High Court. As part of the arrangement, shares of Systems Limited will be issued to the shareholders of Confiz. The Board has authorized the CEO, CFO, and Company Secretary to negotiate, finalize, and execute all relevant documents and agreements, and to take all necessary steps to implement the merger. Systems Limited stated that the scheme and related documents will be circulated to the Pakistan Stock Exchange and shareholders in due course, following the directions of the Lahore High Court and in compliance with applicable laws. The company emphasized that the merger is subject to all required legal and regulatory approvals, and any changes or amendments that may be necessary during the process.
